1. Acceptance of Terms

By accessing or using Knewidea (the "Platform"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you may not use the Platform. These terms constitute a legally binding agreement between you and Knewidea LLC.

2. About Knewidea

Knewidea is a civic innovation platform where users submit ideas, vote on proposals, collaborate with others, and form project teams to turn ideas into action. The Platform is available globally and is intended to help individuals and communities make progress on problems that matter to them.

3. Eligibility

You must be at least 13 years old to use Knewidea. By using the Platform, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Platform. We do not knowingly collect personal information from children under 13. If we become aware that a user is under 13, we will terminate their account.

4. User Accounts and Responsibilities

To access most features of Knewidea, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your password and account credentials.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.
• Not share your account with any other person.

5. User Content

You retain ownership of the content you submit to Knewidea, including ideas, comments, project descriptions, and other materials ("User Content"). By submitting User Content, you grant Knewidea LLC a worldwide, non-exclusive, royalty-free, sublicensable license to display, reproduce, distribute, modify, and otherwise use your User Content to operate, promote, and improve the Platform.

You represent and warrant that you own or have the necessary rights to your User Content, and that your User Content does not infringe the intellectual property rights or other rights of any third party.

6. Prohibited Conduct

You agree not to:

• Post spam, unsolicited messages, or repetitive content.
• Harass, threaten, or abuse other users.
• Upload or share illegal content of any kind.
• Impersonate any person or entity, or falsely represent your affiliation.
• Use the Platform to promote illegal activities or violate any applicable law.
• Attempt to gain unauthorized access to any part of the Platform.
• Scrape, crawl, or systematically harvest data without our express written consent.
• Use the Platform for any commercial solicitation without authorization.

7. Intellectual Property

The Knewidea Platform — including its design, software, logos, trademarks, and all content created by Knewidea LLC — is owned by Knewidea LLC and protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use the Knewidea name, logo, or other branding without our prior written consent.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KNEWIDEA LLC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KNEWIDEA LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

10. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or the Platform. You may delete your account at any time by contacting us. Upon termination, your right to use the Platform ceases immediately.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. If changes are material, we will notify you via email or a prominent notice on the Platform. Your continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in the State of Delaware.
